1. Introduction
Welcome to Nurmina. These Terms and Conditions (the “Terms”) are a legal agreement between you and Synlan Technology Pte. Ltd., a company incorporated in Singapore (“Nurmina”, “we”, “our”, or “us”).
These Terms govern your access to and use of: (a) our website (the “Site”); (b) the purchase of our products; (c) our ambient lighting devices, gateways, and related hardware (the “Devices”); (d) our mobile and web applications (the “App”); (e) our cloud-based services that enable remote control, automation, and related functionality (the “Cloud Services”); and (f) our AI-powered features, including voice-driven and image-based lighting effect generation (the “AI Features”). The Site, Devices, App, Cloud Services, and AI Features are collectively referred to as the “Services”.
By accessing or using any of the Services, or by purchasing a Device, you agree to be bound by these Terms. If you do not agree, do not use the Services.
This document is organized in three parts. Part A — Terms of Sale governs the purchase of products from our Site. Part B — Terms of Service governs your use of the Devices, App, Cloud Services, and AI Features. Part C — General Terms applies to all of the above.
2. Use of Our Site
- You must be at least 18 years old, or the age of majority in your jurisdiction, to purchase products or create an account.
- You agree to use the Site for lawful purposes only.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
3. Products and Orders
- All product descriptions, images, specifications, and prices are subject to change without notice.
- We reserve the right to refuse or cancel any order where fraud or unauthorized activity is suspected.
- Prices are displayed in the currency shown at checkout and may include or exclude applicable taxes and duties depending on your region.
- We reserve the right to limit quantities of any product offered.
4. Payments
- Payments are processed through trusted third-party gateways such as Shopify Payments, PayPal, or Airwallex.
- By submitting payment information, you represent that you have the legal right to use the selected payment method.
- All transactions are encrypted in transit.
5. Shipping and Delivery
- Shipping times and costs are shown at checkout and may vary by destination.
- We are not responsible for delays caused by customs, couriers, or other circumstances beyond our reasonable control.
- Risk of loss or damage passes to you upon delivery.
6. Returns and Refunds
Please refer to our Refund Policy for details on returns, exchanges, and refunds. We reserve the right to deny a refund where returned items do not meet the stated requirements.
7. Account Registration and Security
- Certain Services require you to create an account. You agree to provide accurate and complete information and to keep it up to date.
- You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorized use.
- We may suspend or terminate accounts that violate these Terms, as set out in Section 18.
8. Devices, App, and Cloud Services
8.1 License. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App and Cloud Services for your personal, non-commercial use of the Devices you own.
8.2 Connectivity and availability. Remote control and cloud-dependent features rely on your internet connection, your network configuration, and the availability of the Cloud Services. We do not warrant that the Cloud Services will be uninterrupted, error-free, or available at all times, and we are not liable for outages caused by factors outside our reasonable control.
8.3 Firmware and software updates. We may provide over-the-air (“OTA”) firmware and software updates from time to time. Some updates — including those addressing security, safety, or regulatory compliance, or those required to maintain third-party platform certification — may be applied automatically and may be necessary for continued operation of the Devices or Services. You agree to receive such updates.
8.4 Changes to the Services. We may add, modify, suspend, or discontinue any part of the Services. Where we discontinue a Cloud Service entirely (an “end-of-service” event), we will use commercially reasonable efforts to provide advance notice. You acknowledge that following an end-of-service event, cloud-dependent features may cease to function, while local control via the Matter protocol (where supported by your Device) may remain available as described in Section 10.
9. Third-Party Ecosystem Integrations (Google Home, Amazon Alexa, and Others)
9.1 Linking your account. The Devices and Cloud Services can be connected to third-party smart home ecosystems, including Google Home and Amazon Alexa (each, a “Third-Party Platform”). To enable these integrations, you link your Nurmina account with your account on the relevant Third-Party Platform through a secure authorization (OAuth) process.
9.2 Data sharing. When you link your account, data necessary to operate the integration — including device identifiers, device state, capabilities, and control commands — is transmitted between the Nurmina Cloud Services and the Third-Party Platform. This exchange is ongoing for as long as the link remains active and may include synchronization of device configuration changes. The specific data shared is described in our Privacy Policy and on the consent screen presented at the time of linking.
9.3 Third-party terms. Your use of a Third-Party Platform is governed by that platform’s own terms of service and privacy policy. We do not control, and are not responsible for, the availability, functionality, security practices, or changes of any Third-Party Platform. A Third-Party Platform may modify or discontinue its integration capabilities at any time, which may affect the operation of your Devices within that ecosystem.
9.4 Unlinking. You may unlink your Nurmina account from any Third-Party Platform at any time through the App, your Nurmina account settings, or the Third-Party Platform’s own controls. Unlinking will stop further data exchange with that platform and disable control of your Devices through it.
10. Local Control via Matter
10.1 Local operation. Where your Device supports the Matter protocol, certain control functions operate locally within your home network and may not require the Nurmina Cloud Services or an internet connection.
10.2 Third-party controllers. When you add a Device to a Matter-enabled ecosystem (such as Apple Home, Google Home, Amazon Alexa, or Samsung SmartThings), the behavior, available features, and presentation of the Device within that ecosystem are determined by that ecosystem’s controller. Some Nurmina-specific features may not be available through a third-party Matter controller. We are not responsible for the implementation, performance, or limitations of any third-party Matter controller.
11. AI Features (Voice- and Image-Based Lighting Effects)
11.1 Description. The AI Features allow you to generate lighting effects from voice commands and from images you provide (“User Content”). Lighting effects are produced by algorithmic processing and are generated outputs (“Generated Effects”).
11.2 Third-party AI processing and cross-border transfer. The AI Features are powered in part by third-party large-language and generative AI models accessed through external APIs (“AI Providers”). To provide the AI Features, your User Content (including images and voice input) and associated data are transmitted to and processed by these AI Providers, which may be located outside Singapore and outside your country of residence. By using the AI Features, you consent to this transfer and processing. The AI Providers’ handling of data is governed by their own terms and policies, summarized in our Privacy Policy.
11.3 License to User Content. You retain ownership of your User Content. You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, process, and create derivative outputs from your User Content solely for the purpose of providing and improving the AI Features. This license ends when you delete the relevant User Content or your account, except to the extent processing is already underway or retention is required by law.
11.4 No training without consent. We do not use your User Content to train our own or third-party AI models, except where you have given separate, explicit consent.
11.5 Acceptable use of User Content. You represent that you own or have the necessary rights to the User Content you submit, and that it does not infringe any third-party rights or violate any law. You must not submit content that is unlawful, infringing, obscene, or that depicts or sexualizes minors.
11.6 Nature of Generated Effects. Generated Effects are algorithmic outputs provided on an “as is” basis. We do not warrant that any Generated Effect will meet your expectations, be accurate, or be unique. Similar inputs from different users may produce similar outputs.
11.7 Photosensitivity warning. Lighting effects, including AI-generated effects, may include flashing, strobing, rapid color changes, or high-contrast patterns. A small percentage of people may experience seizures, including photosensitive epileptic seizures, when exposed to such patterns. If you or anyone in your household has a history of epilepsy or seizures, exercise caution and consult a medical professional before use. Discontinue use and seek medical advice if you experience any adverse reaction. You use dynamic and AI-generated lighting effects at your own risk.
12. Intellectual Property
All content forming part of the Services — including text, images, logos, graphics, videos, software, and firmware — is the property of Nurmina or its licensors and is protected by intellectual property laws. Except for the limited licenses expressly granted in these Terms, you may not copy, reproduce, distribute, modify, reverse-engineer, or create derivative works from any part of the Services without our prior written consent.
13. Limitation of Liability
To the maximum extent permitted by law:
- We shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Services or products, including damages arising from service interruptions, third-party platform changes, or AI-generated outputs.
- Our total aggregate liability for any claim shall not exceed the amount you paid for the product or Service giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
14. Indemnification
You agree to indemnify and hold harmless Nurmina and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your misuse of the Services, your User Content, your violation of these Terms, or your violation of any third-party right or applicable law.
15. Third-Party Links
The Site may contain links to third-party websites. We are not responsible for the content, policies, or practices of those websites.
16. Privacy
Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, share, and protect your personal information, including data shared with Third-Party Platforms and AI Providers.
17. Export Compliance
You agree to comply with all applicable export control and sanctions laws. You represent that you are not located in, and will not use the Services in, any jurisdiction subject to applicable embargoes, and that you are not on any restricted-party list.
18. Suspension and Termination
We may suspend or terminate your access to the Services, or delete your account, if you materially breach these Terms or use the Services unlawfully. Upon termination, your right to use the App, Cloud Services, and AI Features ends. We will handle any associated data in accordance with our Privacy Policy and applicable law. Sections that by their nature should survive termination (including Sections 12, 13, 14, and 19) will survive.
19. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules then in force. The seat of arbitration shall be Singapore and the language of the arbitration shall be English.
20. Changes to These Terms
We may update these Terms from time to time. For material changes, we will provide reasonable notice — for example, by posting on the Site, through the App, or by email — before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance. Where required by applicable consumer-protection law, changes will not apply retroactively without your consent.
